These Terms & Conditions ("Terms") govern your access to and use of the software, websites, and services (the "Service") operated by Cladeworks LLC ("we", "us", "our"), a company trading as Fosterling (fosterling.io). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Who you are contracting with
You are contracting with Cladeworks LLC. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. Individual users must be of legal age in their jurisdiction.
2. The Service
Fosterling provides software for animal rescues and shelters (intake, foster matching, donations, lost & found, and related workflows). Specific features depend on the plan you select.
3. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, harassing, or harmful purposes.
- Infringe any intellectual property, privacy, or other rights of third parties.
- Upload malware, attempt to probe or breach security, or scrape the Service.
- Resell, sublicense, or otherwise redistribute the Service without our written consent.
- Reverse engineer, decompile, or attempt to circumvent technical limits.
4. Account and content
You are responsible for safeguarding your credentials and for all activity under your account. You must provide accurate information and keep it current. You retain ownership of the content you upload (records, photos, documents, dictations); you grant us a limited, worldwide license to host, process, and display that content solely as needed to provide the Service to you.
5. AI features
Both products use generative-AI components (clinical note drafting, lost/found matching, donor stewardship, application screening, etc.). You agree that:
- AI outputs may be inaccurate or incomplete and must be reviewed by a qualified human before being relied on. Fosterling outputs (e.g. application screening, matching) are recommendations, not decisions.
- You are responsible for your prompts, inputs, and how you use outputs, and for having the rights to any content you provide.
- You will not use the Service to generate illegal content, deepfakes, hate speech, malware, or to attempt to bypass content safeguards.
- We may remove, restrict, or refuse outputs, filter prompts, and suspend accounts that violate these rules.
- Rights-holders may contact us at legal@fosterling.io to report infringement; repeat infringers will be terminated.
6. Intellectual property
We retain all right, title, and interest in the Service, including the software, models, templates, branding, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan and these Terms.
7. Payments
Payments are processed on our behalf by Stripe. Fosterling is the seller of record and handles all customer service, billing questions, and refunds directly.
Billing, cancellations, and refunds are governed by our Refund Policy. Paid subscriptions auto-renew at the end of each billing period at the then-current price unless canceled. You can cancel anytime from your billing settings; cancellation takes effect at the end of the current period, after which paid features are downgraded to the free tier.
8. Service level
We work hard to keep the Service running, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice.
9. Suspension and termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends; you may export your data for 30 days afterwards, after which we may delete it.
10. Warranties and liability
To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Our aggregate liability arising out of or relating to these Terms is capped at the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.
11. Indemnification
You will indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.
12. Governing law
These Terms are governed by the laws of the seller's place of residence (United States), without regard to conflict-of-law rules. Disputes will be resolved in the competent courts of that jurisdiction, unless local consumer law gives you the right to a different forum.
13. Changes and assignment
We may update these Terms; material changes will be announced with reasonable notice. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
